Welcome to Repair United. These Terms & Conditions (“Terms”) govern access to and use of the Repair United website and the repair, diagnostic, testing, refurbishment, quality control, logistics coordination, sourcing, and related services provided by Repair United (“Services”).
By using this website, requesting a quotation, issuing a purchase order, approving a repair, submitting equipment for evaluation or repair, or purchasing Services from Repair United, the customer agrees to these Terms.
Where a separate quotation, purchase order acknowledgment, service agreement, or other written agreement has been accepted by both parties, that agreement will prevail over these Terms to the extent of any conflict.
1. About Repair United
Repair United provides industrial electronics repair and related technical services to businesses and organizations.
Our Services may include diagnostics, component-level repair, refurbishment, component replacement, circuit restoration, functional testing, quality control, repair coordination, logistics support, and other related technical services.
Repair United may perform Services directly or through qualified repair centers, technical specialists, laboratories, logistics providers, and other service partners within our repair network, including partners located in Vietnam and other countries.
2. Business-to-Business Services
Repair United primarily provides Services to businesses, repair centers, distributors, manufacturers, industrial operators, system integrators, maintenance organizations, and other commercial customers.
Unless otherwise agreed in writing, our Services are intended for commercial and industrial applications and are not offered as consumer repair services.
The customer represents that it is acting for business or commercial purposes when engaging Repair United.
3. Quotations and Repair Authorization
Repair quotations are based on information provided by the customer and, where applicable, inspection and diagnostic evaluation of the equipment.
A quotation may include repair charges, diagnostic fees, replacement components, testing, handling, logistics, shipping, customs-related expenses, and other applicable costs.
Repair work will normally begin only after the customer accepts the quotation, issues an authorized purchase order, or otherwise provides written authorization to proceed.
If additional defects, damaged components, or other conditions are discovered during repair that materially affect the scope, cost, or feasibility of the repair, Repair United may suspend work and provide a revised quotation for customer approval before proceeding.
Unless otherwise stated, quotations are valid only for the period specified in the quotation.
4. Diagnostic and Evaluation Services
Equipment may require inspection, testing, dismantling, or diagnostic evaluation before a final repair quotation can be issued.
Diagnostic, evaluation, handling, administrative, or inspection fees may apply even if:

the customer decides not to proceed with the repair;

no fault is found;
-
the reported fault cannot be reproduced;
-
the equipment is determined to be beyond repair; or
-
the repair is considered technically or economically impractical.
Any applicable fees will be communicated through the quotation, service agreement, purchase order acknowledgment, RMA documentation, or other written communication.
5. No Fault Found (NFF)
Where equipment is inspected or tested and the reported fault cannot be reproduced or no identifiable defect is found, the equipment may be classified as “No Fault Found” or “NFF.”
Diagnostic, testing, handling, logistics, shipping, customs, and other applicable charges may still apply to NFF equipment.
Repair United does not guarantee that intermittent faults or faults occurring only under specific operating conditions will be reproduced during testing.
6. Repair Services
Repair United will use commercially reasonable efforts to diagnose, repair, refurbish, and test equipment according to the agreed scope of work.
Depending on the equipment and nature of the failure, Services may include component replacement, circuit repair, cleaning, refurbishment, firmware or configuration work where authorized, functional testing, and quality-control procedures.
Repair does not necessarily restore equipment to factory-new condition.
Cosmetic wear, aging, discontinued components, previous modifications, prior repairs, and conditions unrelated to the reported failure may remain unless specifically included in the agreed repair scope.
7. Third-Party Repair Network
Repair United operates through a network of specialized repair centers and technical service providers.
By submitting equipment to Repair United, the customer acknowledges and agrees that equipment may be transported to and serviced by qualified third-party repair partners selected by Repair United.
Repair United may use subcontractors, laboratories, logistics providers, technical specialists, and other service partners as reasonably necessary to perform the Services.
Repair United remains responsible for coordinating the Services agreed with the customer, subject to these Terms and any applicable written agreement.
8. Shipping, Customs and International Transportation
Unless otherwise agreed in writing, the customer is responsible for providing accurate equipment descriptions, quantities, declared values, serial numbers, country-of-origin information, shipping documentation, and other information reasonably required for international transportation and customs processing.
Repair United may assist with transportation, temporary import and re-export procedures, customs documentation, and logistics coordination.
However, customs clearance, inspections, duties, taxes, governmental approvals, regulatory requirements, carrier delays, and other governmental or transportation procedures may be outside Repair United’s reasonable control.
Customs duties, taxes, brokerage charges, storage charges, demurrage, special handling costs, inspection costs, or other unexpected logistics expenses may be charged to the customer unless otherwise agreed in writing.
Customers are responsible for packaging equipment appropriately for domestic and international transportation.
Repair United is not responsible for damage resulting from inadequate packaging before the equipment is received by Repair United or its designated logistics provider.
9. Temporary Import and Re-Export
Certain equipment may be temporarily imported into Vietnam for the purpose of inspection, repair, refurbishment, or testing and subsequently re-exported.
The customer agrees to provide all information and documentation reasonably required to support applicable customs procedures.
Equipment temporarily imported into Vietnam may remain subject to customs supervision and applicable Vietnamese customs, tax, environmental, import/export, and other regulatory requirements.
The customer acknowledges that equipment temporarily imported for repair may not necessarily be freely sold, transferred, abandoned, recycled, dismantled, or disposed of within Vietnam without completing applicable legal and customs procedures.
If the customer requests that temporarily imported equipment not be returned or re-exported, any change in customs status, disposal, recycling, destruction, or other treatment of the equipment will be subject to applicable Vietnamese law and approval or procedures of the relevant authorities where required.
Any duties, taxes, penalties, storage costs, customs charges, environmental costs, disposal costs, or other expenses arising from such a request or from the customer’s failure to arrange the return or re-export of the equipment will be the customer’s responsibility to the extent permitted by applicable law.
10. Turnaround Times
Any estimated repair, processing, or delivery time is provided in good faith based on information available at the time of quotation.
Turnaround times may be affected by equipment condition, parts availability, technical complexity, customer approvals, transportation, customs procedures, regulatory requirements, or other circumstances beyond Repair United’s reasonable control.
Unless specifically guaranteed in writing, estimated turnaround times are not binding delivery commitments.
Repair United will not be responsible for production losses, downtime, missed deadlines, or other consequential losses resulting from reasonable repair or transportation delays.
11. Payment Terms
Prices, currencies, deposits, and payment terms will be specified in the applicable quotation, invoice, service agreement, purchase order acknowledgment, or other commercial document.
Unless otherwise agreed in writing, the customer is responsible for all applicable repair charges, diagnostic fees, shipping costs, customs-related expenses, taxes, storage charges, and other agreed or reasonably incurred expenses associated with the Services.
Repair United reserves the right to require deposits, advance payments, or full payment before commencing certain Services or before repaired equipment is released or returned to the customer.
Repair United may retain equipment pending payment of outstanding amounts to the extent permitted by applicable law.
12. Repair Warranty
Repair United may provide a limited warranty for completed repair Services. The applicable warranty period and coverage will be stated in the quotation, invoice, repair report, warranty document, or other written documentation.
Unless otherwise specified, the repair warranty applies only to the specific repair performed and the components repaired or replaced as part of that work.
The warranty does not cover failures resulting from misuse, improper installation, incorrect electrical supply, environmental conditions, contamination, accidents, unauthorized modifications, subsequent third-party repairs, normal wear and tear, or failures unrelated to the original repair.
Where a valid warranty claim is confirmed, Repair United’s obligation will generally be limited, at Repair United’s reasonable discretion, to re-performing the applicable repair or providing another remedy agreed in writing.
Transportation, customs, removal, installation, production downtime, and other consequential costs are not included in the repair warranty unless expressly agreed in writing.
13. Equipment Beyond Repair or Uneconomical to Repair
Some equipment may be determined to be technically beyond repair or uneconomical to repair due to extensive damage, obsolete components, unavailable parts, inaccessible software or firmware, previous repairs, contamination, physical damage, or other technical limitations.
Repair United will notify the customer where reasonably practicable and may provide options for:

returning the equipment to the customer;

recycling the equipment where legally permitted; or
-
disposing of or destroying the equipment in accordance with applicable law.
The customer remains responsible for applicable diagnostic, handling, storage, packaging, shipping, customs, recycling, and disposal costs unless otherwise agreed in writing.
If the customer does not wish to have the equipment returned and requests disposal or destruction in Vietnam, the customer agrees to pay all reasonable and actual costs associated with the storage, transportation, handling, recycling, treatment, destruction, or disposal of the equipment.
All such activities must be carried out in accordance with applicable Vietnamese laws and regulations, including applicable customs, environmental, waste-management, and electronic-waste requirements.
Where required by law, Repair United may engage appropriately licensed or authorized waste-management, recycling, or disposal providers.
Repair United may require advance payment of estimated disposal or destruction costs before arranging such services.
14. Abandoned Equipment
Following completion of a repair, determination that equipment is beyond repair, rejection of a repair quotation, or a request from Repair United for customer disposition instructions, the customer is responsible for providing timely instructions regarding return, re-export, storage, recycling, or lawful disposal of the equipment.
If the customer fails to respond, fails to pay amounts due, or fails to arrange collection, return, or re-export of the equipment within 60 days after Repair United sends written notice to the customer’s most recently provided contact details, Repair United may begin charging reasonable storage and administrative fees.
If the customer continues to fail to provide disposition instructions, make required payments, or arrange collection or re-export within 90 days from the initial written notice, Repair United may issue a final written notice providing the customer with at least an additional 15 days to take action.
Following expiration of that final notice period, and to the extent permitted by applicable law, the equipment may be treated as Abandoned Equipment.
Repair United will not be required to store Abandoned Equipment indefinitely.
Subject to applicable law and regulatory requirements, Repair United may arrange for the equipment to be stored, recycled, destroyed, disposed of, or otherwise lawfully handled.
Classification of equipment as Abandoned Equipment does not waive or extinguish the customer’s responsibility for outstanding amounts, including repair charges, diagnostic fees, transportation costs, customs expenses, storage charges, handling charges, recycling costs, disposal costs, destruction costs, taxes, duties, or other expenses incurred in connection with the equipment.
For equipment temporarily imported into Vietnam, abandonment by the customer does not automatically transfer ownership or authorize unrestricted disposal, sale, dismantling, or reuse of the equipment.
Any disposal, destruction, recycling, change of customs status, or other treatment must comply with applicable Vietnamese customs, tax, environmental, waste-management, and other legal requirements.
Any taxes, duties, penalties, storage charges, customs expenses, transportation costs, recycling charges, disposal fees, destruction costs, or other expenses resulting from the customer’s failure to collect, return, or re-export the equipment will be charged to the customer to the extent permitted by applicable law.
15. Customer Responsibilities
The customer is responsible for providing accurate information concerning the equipment, reported fault, operating conditions, previous repair history, configuration, and any known safety hazards.
Before submitting equipment, customers should back up and, where technically possible, remove confidential information, programs, parameters, production recipes, passwords, customer data, or other sensitive information.
The customer represents and warrants that it owns the equipment or otherwise has sufficient legal authority to authorize Repair United and its service partners to inspect, transport, test, repair, and otherwise handle the equipment in accordance with these Terms.
The customer is responsible for ensuring that shipment of the equipment to Repair United does not violate export controls, sanctions, intellectual-property restrictions, hazardous-material requirements, or other applicable laws.
16. Intellectual Property
All content appearing on the Repair United website, including text, graphics, photographs, logos, designs, service descriptions, and other materials, is owned by or licensed to Repair United unless otherwise indicated.
Such materials may not be reproduced, distributed, modified, republished, or used for commercial purposes without prior written permission.
All third-party trademarks, manufacturer names, product names, model numbers, and logos remain the property of their respective owners.
References to manufacturers, trademarks, or products are made for identification and service-description purposes only and do not imply affiliation, authorization, certification, sponsorship, or endorsement unless expressly stated.
17. Confidentiality and Customer Information
Repair United will use commercially reasonable measures to protect confidential business and technical information provided by customers in connection with the Services.
Repair United may share information with repair partners, laboratories, logistics providers, customs service providers, and other contractors when reasonably necessary to perform the Services.
Where appropriate, such parties may be subject to contractual or legal confidentiality obligations.
Repair United does not guarantee recovery or preservation of programs, configurations, stored data, or other electronic information contained within equipment submitted for repair.
18. Limitation of Liability
To the maximum extent permitted by applicable law, Repair United will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from or relating to the Services.
This includes, without limitation, loss of production, loss of revenue, loss of profit, loss of business opportunity, business interruption, loss of data, machine downtime, labor costs, or losses arising from inability to use equipment.
Unless otherwise expressly agreed in writing or prohibited by applicable law, Repair United’s aggregate liability relating to a particular item of equipment or Service will not exceed the amount actually paid by the customer to Repair United for the specific repair or Service giving rise to the claim.
The customer remains responsible for determining whether repaired equipment is suitable and safe for installation, commissioning, and operation within its machinery, production system, or application.
19. Safety-Critical Applications
Unless expressly agreed in writing, Repair United does not represent that repaired equipment is suitable for use in applications where failure could reasonably result in death, personal injury, significant environmental damage, or other safety-critical consequences.
The customer is responsible for conducting appropriate inspection, validation, commissioning, safety testing, and risk assessment before placing repaired equipment back into service.
20. Force Majeure
Repair United will not be liable for failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control.
Such circumstances may include natural disasters, fire, flood, war, civil disturbance, government action, changes in law, customs delays, transportation disruptions, labor disputes, epidemics, shortages of components or materials, power failures, telecommunications failures, or other events beyond Repair United’s reasonable control.
21. Website Information
Repair United makes reasonable efforts to keep information on its website accurate and current.
However, service descriptions, technical capabilities, pricing, availability, repair times, geographic coverage, and other information may change without notice.
Information provided on the website does not constitute a binding quotation, warranty, representation, or service commitment unless specifically confirmed by Repair United in writing.
22. Changes to Services and Terms
Repair United reserves the right to modify its Services, pricing policies, website content, and these Terms from time to time.
Updated Terms will become effective when published on the Repair United website unless otherwise required by applicable law.
The version of these Terms applicable to a particular Service will generally be the version in effect when the applicable quotation, purchase order, RMA, or service authorization is accepted.
23. Governing Law and Dispute Resolution
These Terms and any transaction, Service, quotation, purchase order, RMA, contract, or agreement arising between Repair United and the customer shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam, unless otherwise expressly agreed in writing by both parties.
In the event of any dispute, claim, or disagreement arising out of or relating to these Terms or the Services provided by Repair United, the parties shall first attempt to resolve the matter through good-faith negotiation.
If the dispute cannot be resolved through negotiation, it shall be submitted to the competent courts of Vietnam, and the parties agree to submit to the jurisdiction of the Vietnamese courts.
Unless otherwise required by mandatory provisions of Vietnamese law, the venue for dispute resolution shall be in Vietnam.
Nothing in these Terms is intended to exclude or limit any right or obligation that cannot lawfully be excluded or limited under Vietnamese law.
24. Severability
If any provision of these Terms is determined by a competent authority to be invalid, illegal, or unenforceable, that provision will be interpreted or modified to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
